Terms of Service

By accessing or using the Site you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization.

The Site is intended for a business audience of legal age in their jurisdiction. Where the Site provides gated features (e.g. early-access programs), you are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

All paid engagements are performed under a separate written MSA and one or more Statements of Work between Cyryx Labs and the client. Nothing on the Site creates a contract to deliver services, and information on the Site is not a binding offer. In the event of any conflict between these Terms and an executed MSA, the MSA controls.

MAAX Studio and other products marked as pre-release, alpha, beta, preview, or early access are provided for evaluation purposes only, without warranty, and may be modified, suspended, or discontinued at any time. Availability of pre-release materials on the Site does not constitute general commercial availability.

All content on the Site — including text, graphics, logos, marks, and software — is the property of Cyryx Labs or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, publicly display, or create derivative works from any portion of the Site without our prior written consent, except as permitted for personal, non-commercial evaluation or by applicable law.

If you submit feedback, ideas, or suggestions about the Site or our products, you grant Cyryx Labs a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, and irrevocable license to use, reproduce, and incorporate that feedback for any purpose, without obligation or attribution.

You agree not to:

• use the Site in a manner that violates any applicable law or third-party right;
• attempt to gain unauthorized access to the Site, accounts, or related systems;
• probe, scan, or test the vulnerability of the Site without prior written authorization;
• introduce viruses, malware, or otherwise disrupt Site operation;
• scrape, harvest, mirror, or reverse engineer any portion of the Site except as permitted by applicable law;
• use the Site to develop a competing product, or to train machine-learning models on Cyryx Labs content without prior written consent;
• impersonate any person or entity or misrepresent your affiliation.

The Site relies on third-party infrastructure for hosting, edge compute, email delivery, analytics, and related functions. Their availability and terms are outside our control. We are not responsible for third-party services except as explicitly stated in an MSA.

Non-public information exchanged during discovery, pre-contract discussions, or early-access programs is confidential. Do not disclose or publish it without our prior written consent. Formal confidentiality obligations, where applicable, are set out in a signed NDA or MSA.

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Site and all Site content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, and we do not warrant the accuracy, completeness, or timeliness of Site content.

To the maximum extent permitted by law, Cyryx Labs and its members, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Site, even if advised of the possibility of such damages. Our aggregate liability arising out of or related to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion of certain damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.

You agree to indemnify, defend, and hold harmless Cyryx Labs and its members, officers, employees, and affiliates from any claim, liability, damage, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

You represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive U.S. embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, acts of government, network or utility failures, labor disputes, and acts of war or terrorism.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply. The exclusive venue for any dispute arising out of or related to these Terms or the Site will be the state or federal courts located in St. Lucie County, Florida, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial to the extent permitted by law.

• Entire agreement: these Terms, together with any MSA and the Privacy Policy, constitute the entire agreement between the parties regarding the Site.
• Severability: if any provision is held unenforceable, the remaining provisions remain in full force.
• No waiver: failure to enforce any provision is not a waiver of future enforcement.
• Assignment: you may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
• Relationship: the parties are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
• Notices: notices to Cyryx Labs must be sent to contact@cyryxlabs.com.

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
